Yangtze Memory Technologies Co. (YMTC) has formally filed to raise 33 billion yuan, equivalent to about $4.9 billion, in an initial public offering on Shanghai's STAR Market, with the Shanghai Stock Exchange accepting the application on Friday. The transaction ranks among the largest domestic semiconductor share sales in recent years as China moves to strengthen its memory chip supply chain.
Under the draft prospectus, YMTC proposes to issue between 1.98 billion and 2.43 billion A-shares, which would represent 10% to 12% of its total share capital after the offering. The company has included an over-allotment option capped at 15%. CITIC Securities and CSC Financial are named as joint sponsors of the offering.
The filing specifies how the proceeds will be used: 20.8 billion yuan is earmarked for upgrades to mass production lines, while 12.2 billion yuan will be directed toward advanced research and development projects. Those allocations reflect the company's emphasis on expanding production capacity and continuing technology development.
Financial figures disclosed in the prospectus show a sharp operational acceleration at YMTC. For the first quarter of 2026, the Wuhan-based chipmaker reported 47.04 billion yuan in revenue and 33.38 billion yuan in net profit. The filing frames this momentum as following a profitable turnaround in 2024 and cites full-year 2025 revenue of 63.19 billion yuan. The company attributes part of this growth to strong global demand for artificial intelligence infrastructure and denser data storage.
Market share data included in the prospectus, derived from TrendForce, indicate that YMTC ranked third globally and first in China for both NAND Flash sales revenue and shipment volume in the first quarter of 2026. The filing points to the firm's proprietary Xtacking architecture as a technical foundation for growth, noting the company's ability to mass-produce 200-plus layer 3D NAND memory and to secure cross-licensing agreements with international peers.
At the same time, the prospectus draws attention to the capital-intensive nature of the business. YMTC reports cumulative research expenditures of 15.95 billion yuan and capital investments of 96.39 billion yuan in long-term assets over the reporting period. These investments have resulted in 50.95 billion yuan of cumulative depreciation and amortization expenses, factors the company says could leave operating margins exposed if unit memory prices decline.
Management also flagged external pressures that could affect future plans, warning that international trade instability and supply chain stressors might disrupt equipment procurement and slow overseas expansion efforts. The filing states that the company intends to use the public listing to strengthen corporate governance, optimize its capital structure, and consolidate its position as a world-class memory manufacturer.
Key context: The prospectus combines rapid top-line growth and market-share gains with large historical capital outlays and ongoing exposure to market and supply risks.
